1. Introduction & Acceptance

Welcome to Vialens ("Vialens", "Service", or "Platform"), operated by RUYAT ALMASAR INFORMATION TECHNOLOGY L.L.C ("Company", "we", "us", or "our"). By accessing or using the Platform, creating an account, or purchasing credits, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use the Platform.

2. Description of the Service

Vialens is an AI-powered digital creative platform that provides tools for creating marketing and advertising content, including AI-generated images, videos, advertising copy, product visuals, UGC-style content, and other creative assets and services made available through the Platform.

The Platform may be used by businesses, e-commerce merchants, marketers, agencies, creators, and other eligible users for their marketing and creative activities.

Access to certain features and generation services is provided through prepaid credits. Available features, generation options, credit requirements, and prices are displayed on the Platform and may be updated from time to time.

3. Account Registration & Security

• You must be at least 18 years old or have the legal capacity required to enter into these Terms in your jurisdiction.
• You agree to provide accurate, current, and complete information when creating an account and when providing information required for payment processing.
• You are responsible for maintaining the confidentiality and security of your account credentials.
• You are responsible for activities performed through your account unless caused by unauthorized access that was not reasonably preventable by you.
• You must promptly notify us if you become aware of unauthorized access to or use of your account.
• You may not create or use an account for fraudulent, unlawful, or abusive purposes.

4. Credits, Billing & Refund Policy

Vialens operates on a prepaid credit model. Users purchase credit packages and use those credits to access eligible AI generation services and other available features on the Platform.

Pricing & Payments: Credit packages, applicable prices, and the credits included in each package are displayed on the Platform. Payments are processed securely through third-party payment providers, including Stripe or other payment providers made available by the Company. By completing a purchase, you authorize the applicable payment provider to charge the amount shown at checkout.

Credit Usage: Credits are deducted when an eligible generation or credit-based service is successfully processed, according to the applicable credit cost displayed on the Platform. Different features, AI models, resolutions, processing options, or services may require different amounts of credits.

Credit Balance: Purchased credits are associated with the user's Vialens account and may be subject to expiration, usage limitations, or other conditions if such conditions are clearly disclosed at the time of purchase or within the Platform.

Failed Generations: Where a generation fails due to a technical error on the Vialens Platform or an applicable third-party AI service and the requested result is not successfully produced, the applicable credits will not be charged or will be restored, as applicable, in accordance with the Platform's technical processing rules.

Refund Policy: Credit purchases are digital purchases. Once credits have been successfully delivered to an account, refunds are not available for credits that have already been used or consumed, except where a refund is required by applicable law or approved by the Company under this Refund Policy.

If credits were not delivered following a successful payment, or a technical issue prevents the delivery or use of purchased credits, you may contact us within 7 days of the relevant transaction at support@vialens.tech. We will review the issue and, where appropriate, provide a correction, restoration of credits, or refund.

Refund requests may require reasonable information relating to the transaction, account, and technical issue. The Company may investigate the circumstances of a request before determining the appropriate resolution.

No Recurring Subscription: Unless expressly stated otherwise on the Platform, purchases of credit packages are one-time purchases and do not create an automatic recurring monthly or annual subscription.

5. Promotional Coupons & Discounts

• The Company may offer promotional coupons, discount codes, introductory offers, or other promotional incentives from time to time.
• Each promotional offer may have its own validity period, eligibility requirements, usage limits, purchase restrictions, or applicable credit packages.
• Unless expressly stated otherwise, promotional discounts cannot be combined with other promotional offers or coupons.
• Coupons and promotional discounts have no cash value and cannot be exchanged for cash or transferred for monetary consideration.
• A promotional offer may be limited to new customers, specific accounts, specific purchases, or a single use per customer.
• The Company reserves the right to modify, suspend, or terminate a promotional offer where permitted by applicable law.

6. Intellectual Property & Commercial Use

Platform Ownership: All rights, title, and interest in and to the Vialens Platform, including its software, source code, user interface, logos, branding, design, features, functionality, and underlying technology, are owned by or licensed to RUYAT ALMASAR INFORMATION TECHNOLOGY L.L.C and are protected by applicable intellectual property laws.

Nothing in these Terms grants you ownership of the Vialens Platform, its software, branding, trademarks, or underlying technology.

Generated Media: Subject to these Terms and any applicable third-party provider terms, users may use eligible images, videos, advertising copy, product visuals, UGC-style content, and other media generated through their use of Vialens for commercial purposes, including advertising, e-commerce, social media, promotional campaigns, and marketing activities.

Users are responsible for reviewing generated content before publishing, distributing, advertising, or otherwise using it commercially.

Generated content may be subject to the terms, limitations, or rights of third-party AI providers, models, stock assets, fonts, or other services used to create such content. Where applicable, such third-party terms may affect the permitted use of generated outputs.

User Content: You retain responsibility for all content, images, photographs, videos, text, logos, trademarks, audio, voice recordings, or other materials that you upload, submit, or provide to Vialens ("User Content").

By uploading or submitting User Content, you represent and warrant that you have all rights, licenses, permissions, and consents necessary for Vialens to process such content for the purpose of providing the requested services.

You are responsible for ensuring that your User Content and your use of generated outputs do not infringe or violate the intellectual property, privacy, publicity, contractual, or other rights of any third party.

7. Acceptable Use Policy

You agree to use Vialens only for lawful purposes and in accordance with these Terms. You must not use the Platform to:

• Upload, generate, store, distribute, or promote illegal, abusive, defamatory, hateful, sexually explicit, or otherwise unlawful content.
• Generate or distribute content intended to facilitate fraud, scams, deception, impersonation, or other unlawful activities.
• Impersonate individuals, organizations, brands, public figures, or other entities in a deceptive or fraudulent manner.
• Upload or process content without having the necessary rights, permissions, or consents.
• Attempt to gain unauthorized access to the Platform, accounts, APIs, systems, or infrastructure.
• Use bots, scrapers, automated systems, or other methods to abuse, overload, circumvent, or interfere with the Platform or its limitations.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying technology of the Platform, except to the extent expressly permitted by applicable law.
• Attempt to bypass, manipulate, or circumvent credit usage, payment systems, security controls, rate limits, or other Platform restrictions.
• Use Vialens in a manner that violates applicable laws, regulations, advertising rules, intellectual property rights, or third-party platform policies.

We reserve the right to suspend, restrict, or terminate access to accounts that violate these Terms or that are reasonably believed to present a security, legal, fraud, abuse, or operational risk.

8. Third-Party AI & Technology Services

Vialens relies on third-party artificial intelligence, cloud, hosting, payment, storage, and other technology providers to deliver certain features and services.

Third-party services may experience outages, delays, service limitations, model changes, pricing changes, interruptions, or other circumstances outside the Company's reasonable control.

The availability and performance of individual AI models and features may therefore vary from time to time.

Vialens does not guarantee that every generated result will be accurate, unique, complete, error-free, uninterrupted, or suitable for every intended purpose. AI-generated content may contain inaccuracies, unexpected results, or similarities to existing content.

Users are responsible for reviewing and approving generated content before publishing, distributing, advertising, or using it commercially.

9. Service Availability & Modifications

We aim to keep Vialens available and operational, but we do not guarantee uninterrupted or error-free availability of the Platform or any particular feature.

The Company may modify, update, suspend, replace, limit, or discontinue features, AI models, services, credit requirements, or other parts of the Platform from time to time.

Where reasonably possible, material changes affecting purchased services will be communicated through the Platform or other appropriate means.

10. Limitation of Liability

To the maximum extent permitted by applicable law in the United Arab Emirates, RUYAT ALMASAR INFORMATION TECHNOLOGY L.L.C shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Platform or generated outputs.

This includes, to the extent permitted by applicable law, losses arising from business interruption, loss of profits, loss of revenue, loss of data, loss of goodwill, or reliance on AI-generated content.

Nothing in these Terms is intended to exclude, restrict, or limit any liability or legal right that cannot lawfully be excluded, restricted, or limited under applicable law.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless RUYAT ALMASAR INFORMATION TECHNOLOGY L.L.C, its affiliates, officers, employees, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the Platform, your User Content, your violation of these Terms, or your infringement of the rights of any third party.

12. Governing Law & Dispute Resolution

These Terms shall be governed by, interpreted, and enforced in accordance with the applicable federal laws of the United Arab Emirates.

Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the jurisdiction of the competent courts of the United Arab Emirates, unless otherwise required by applicable law.

13. Changes to These Terms

We reserve the right to update or modify these Terms from time to time. When material changes are made, we may update the "Last updated" date displayed on this page and may provide additional notice where appropriate.

Your continued access to or use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
